These Terms of Service (“Terms”) govern your access to and use of ikonicbadges.com, including any related pages, checkout, forms, accounts, subscriptions, products, and services connected to the website (the “Site”).

The Site is operated by 2555147 Ontario Inc., operating as Ikonic Badges (“Ikonic Badges,” “we,” “us,” or “our”).

By visiting the Site, placing an order, submitting a custom request, creating an account, signing up for communications, or purchasing products from us, you agree to be bound by these Terms, our Privacy Policy, Cookie Policy, Refund Policy, Shipping Policy, and any other policies linked on the Site.

If you do not agree to these Terms, do not use the Site or purchase products from us.

1. Online Store Terms

By using the Site, you confirm that you are at least the age of majority in your province, state, or place of residence, or that you have permission from a parent or legal guardian to use the Site.

You may not use our products, Site, designs, content, or services for any unlawful, fraudulent, abusive, or unauthorized purpose.

You may not interfere with the security, operation, or availability of the Site, attempt to gain unauthorized access to our systems, or use the Site in a way that could damage, disable, overburden, or impair the Site.

2. Products and Custom Orders

Ikonic Badges sells automotive badges, emblems, accessories, LED products, custom products, made-to-order products, and related items.

Many of our products are customized, personalized, or manufactured after an order is placed. Custom and made-to-order products may include customer-selected text, colours, finishes, designs, sizes, layouts, vehicle fitment details, uploaded files, or other customer-provided instructions.

You are responsible for reviewing all order details before submitting your order, including product selection, spelling, capitalization, vehicle year/make/model, colour, finish, size, quantity, shipping address, billing details, and any customization instructions.

Unless otherwise stated in writing, digital mockups, renders, preview images, product images, and examples are for illustration purposes only. Actual colours, finishes, brightness, texture, size, and appearance may vary due to screen settings, lighting, material batches, production methods, or vehicle differences.

3. Custom Design Approval

For custom products, we may provide a proof, render, design preview, or written confirmation before production. If approval is requested, production may not begin until you approve the design or provide the required information.

Once a custom design is approved, or once production has started, changes may not be possible. If changes are possible, additional charges or production delays may apply.

You are responsible for checking spelling, wording, layout, fitment information, colours, sizing, and all other order details before approving a custom design.

4. Customer-Provided Content

If you submit text, photos, logos, files, designs, trademarks, artwork, vehicle images, or other content to us, you confirm that you have the right to provide that content and authorize us to use it for the purpose of creating, producing, quoting, fulfilling, advertising, or supporting your order.

You are responsible for ensuring that customer-provided content does not infringe the rights of any third party, including copyright, trademark, privacy, publicity, or other intellectual property rights.

We may refuse, cancel, or request changes to orders that we believe may infringe third-party rights, violate law, contain offensive content, create production issues, or otherwise be inappropriate for our business.

5. Vehicle Fitment and Compatibility

Product fitment information is provided for convenience and is based on available information, customer feedback, manufacturer-style dimensions, or prior product experience.

You are responsible for confirming that the product you order is suitable for your specific vehicle, trim, package, model year, body style, grille, fender, tailgate, installation location, wiring setup, or modification.

Vehicle manufacturers may change badge sizes, mounting points, wiring, body panels, trim packages, or part designs within the same model year or across different regions. We are not responsible for fitment issues caused by incorrect vehicle information, trim differences, aftermarket modifications, prior bodywork, repainted surfaces, non-original parts, or customer installation choices.

6. Installation Responsibility

Unless we expressly state otherwise, products are sold for customer installation or third-party installation.

You are responsible for proper installation, surface preparation, wiring, mounting, alignment, sealing, maintenance, and safe use of the product. We recommend professional installation where appropriate, especially for LED, electrical, vehicle wiring, or exterior-mounted products.

Ikonic Badges is not responsible for damage caused by improper installation, improper wiring, incorrect surface preparation, misuse, modification, removal, pressure washing, harsh chemicals, road debris, collision, environmental exposure, or failure to follow instructions.

7. LED, Electrical, and Off-Road Use Products

Some products may include LED lighting, wiring, controllers, connectors, or other electrical components.

Unless a product page expressly states otherwise, products are not certified as DOT, SAE, FMVSS, CMVSS, Transport Canada, or road-legal lighting equipment. These products may be intended for off-road, show, display, or decorative use only.

You are responsible for confirming whether installation and use of any product is legal in your province, state, country, or local jurisdiction. Vehicle lighting laws vary by location and may restrict colour, brightness, placement, flashing patterns, or use on public roads.

We recommend installation by a qualified installer for LED and electrical products. Incorrect wiring, polarity, voltage, grounding, splicing, fusing, exposure to moisture, or installation may cause product failure, vehicle damage, electrical issues, fire risk, or personal injury.

Ikonic Badges is not responsible for tickets, fines, inspection failures, vehicle warranty issues, electrical damage, or other consequences arising from improper or unlawful installation or use.

8. Product Use and Assumption of Risk

You agree to use all products safely, legally, and only for their intended purpose.

You assume responsibility for any risks associated with installation, modification, use, removal, cleaning, or maintenance of the products, including risks related to vehicle damage, paint damage, electrical issues, fitment issues, road-use legality, or improper installation.

To the fullest extent permitted by law, Ikonic Badges is not liable for indirect, incidental, consequential, special, punitive, or exemplary damages arising from the use, installation, inability to use, or misuse of our products.

9. Prices, Taxes, Duties, and Fees

Prices are shown in the currency selected or displayed on the Site and are subject to change without notice.

We make reasonable efforts to display accurate pricing, product information, and shipping costs. However, errors may occur. If an error affects your order, we may contact you for instructions, correct the error, cancel the order, or refund the affected amount.

Applicable taxes, shipping charges, and other charges will be shown at checkout where required. We do not intentionally hide mandatory fees or add unavoidable charges at the end of checkout without disclosure.

For cross-border shipments, duties, import taxes, brokerage fees, or customs charges may apply unless we expressly state otherwise. If a product page, checkout page, or shipping policy states that duties or taxes are included or guaranteed for a specific destination, that statement applies only to the destination and shipping method described.

10. Payment

Payment is due at the time of order unless otherwise agreed in writing.

We may accept payment through Shopify Payments, Shop Pay, PayPal, Afterpay, credit cards, debit cards, or other payment methods made available at checkout.

Payment providers may have their own terms, privacy policies, approval processes, fees, financing terms, instalment terms, or dispute procedures. We are not responsible for the acts, omissions, delays, or decisions of third-party payment providers.

We reserve the right to refuse, cancel, or hold an order for fraud screening, payment verification, suspected unauthorized activity, pricing errors, inventory issues, production limitations, or other legitimate business reasons.

11. Production Times and Shipping

Production times and shipping estimates are estimates only unless expressly stated as guaranteed.

Custom, personalized, LED, or made-to-order products may require additional production time. Production time starts when all required order information, approvals, files, fitment details, and payment have been received.

We make reasonable efforts to ship orders within the timeframe stated on the product page, checkout page, confirmation email, or Shipping Policy. If no specific shipping timeframe is stated, we will make reasonable efforts to ship within a reasonable time.

Shipping carriers, customs agencies, and delivery services are third parties. Delivery times may be affected by weather, customs, carrier delays, labour disruptions, incorrect addresses, remote locations, holidays, or other events outside our control.

If we become aware of a significant delay affecting your order, we may contact you with updated information, options, or a cancellation/refund option where required by applicable law.

12. Address Accuracy and Delivery

You are responsible for providing a complete and accurate shipping address.

We are not responsible for delays, failed delivery, lost shipments, returned packages, or additional costs caused by incorrect, incomplete, outdated, or undeliverable addresses provided by the customer.

If a package is returned to us due to an address issue, refusal, failure to pick up, or carrier/customs issue, additional shipping charges may apply to reship the order. Refund eligibility will depend on the product type, order status, and applicable policies.

13. Returns, Exchanges, Cancellations, and Refunds

Returns, exchanges, cancellations, and refunds are governed by our Refund Policy and any product-specific terms listed on the product page.

Because many of our products are custom, personalized, or made to order, they may not be eligible for return or exchange unless they arrive damaged, defective, or different from what you ordered.

If you receive a damaged, defective, incorrect, or missing item, contact us promptly at sales@ikonicbadges.com with your order number, photos, and a description of the issue.

Approved refunds will be issued to the original payment method unless otherwise agreed or required by law. Your bank, credit card provider, or payment processor may require additional time to post the refund.

14. Warranty

Warranty coverage, if any, is described on the applicable product page, warranty page, or order documentation.

Unless otherwise stated, warranties do not cover damage or failure caused by improper installation, incorrect wiring, misuse, modification, accident, abuse, neglect, pressure washing, harsh chemicals, improper cleaning, extreme conditions, normal wear and tear, unauthorized repair, or use outside the product’s intended purpose.

To make a warranty claim, contact us at sales@ikonicbadges.com with your order number, photos, and a description of the issue.

Warranty remedies may include repair, replacement, store credit, or refund, depending on the product, issue, timing, and applicable law.

15. Product Availability

Products, colours, materials, finishes, components, designs, and prices may change or be discontinued without notice.

We reserve the right to limit quantities, discontinue products, refuse orders, or cancel orders where products are unavailable, incorrectly priced, impossible to produce, or otherwise affected by operational issues.

If we cancel an order after payment has been taken, we will refund the amount paid for the cancelled portion of the order.

16. Accuracy of Site Information

We make reasonable efforts to ensure that product descriptions, images, prices, availability, production times, fitment information, and other Site content are accurate.

However, the Site may contain errors, omissions, outdated information, or typographical mistakes. We reserve the right to correct errors, update information, or cancel orders affected by inaccurate information, subject to applicable law.

17. Intellectual Property

The Site, including text, images, product photos, graphics, designs, logos, icons, videos, page layouts, product names, custom design files, and other content, is owned by or licensed to Ikonic Badges and is protected by copyright, trademark, and other intellectual property laws.

You may not copy, reproduce, distribute, modify, publish, sell, scrape, reverse engineer, or use our Site content, product images, designs, or custom artwork without our written permission.

Purchasing a product does not transfer ownership of our designs, files, templates, production methods, product photography, mockups, or intellectual property.

18. Non-Affiliation With Vehicle Manufacturers

Ikonic Badges is an independent aftermarket product company.

We are not affiliated with, endorsed by, sponsored by, authorized by, or connected to Ford Motor Company, General Motors, Stellantis/FCA, Ram, Jeep, Toyota, Nissan, Honda, Chevrolet, GMC, Dodge, or any other vehicle manufacturer or original equipment manufacturer unless expressly stated in writing.

Vehicle names, model names, brand names, logos, and trademarks may appear on the Site for identification, compatibility, fitment, or descriptive purposes only. All such trademarks remain the property of their respective owners.

19. Reviews, Comments, and Submissions

If you submit a review, comment, photo, video, testimonial, message, suggestion, idea, or other content to us, you grant Ikonic Badges a non-exclusive, royalty-free, worldwide licence to use, reproduce, publish, display, modify, and share that content for business, marketing, customer support, product improvement, and promotional purposes, subject to applicable law and our Privacy Policy.

You are responsible for ensuring that any content you submit is accurate, lawful, and does not infringe the rights of others.

We may remove or refuse to publish content that we consider offensive, misleading, unlawful, infringing, abusive, spam, or otherwise inappropriate.

20. Third-Party Tools, Links, and Services

The Site may include third-party tools, apps, payment providers, review platforms, analytics tools, advertising tools, links, or embedded content.

Third-party services are provided by their respective providers and may be subject to separate terms and privacy policies. We are not responsible for the content, accuracy, availability, security, privacy practices, or performance of third-party websites or services.

Use of third-party services is at your own risk.

21. Privacy

Your use of the Site and our handling of personal information are governed by our Privacy Policy and Cookie Policy.

By using the Site, you acknowledge that personal information may be collected, used, disclosed, stored, and processed as described in those policies.

22. Prohibited Uses

You may not use the Site, products, or services:

• For any unlawful purpose

• To violate any local, provincial, state, federal, or international law

• To infringe our intellectual property rights or the rights of others

• To submit false, misleading, fraudulent, abusive, defamatory, obscene, or unlawful content

• To upload viruses, malware, or harmful code

• To interfere with the security or operation of the Site

• To collect or track personal information of others without authorization

• To spam, phish, scrape, crawl, or use automated systems without permission

• To place fraudulent orders or misuse promotions, discounts, or payment systems

• To harass, abuse, insult, harm, defame, intimidate, or discriminate against others

We may suspend or terminate access to the Site, refuse service, cancel orders, or take other action if we believe these Terms have been violated.

23. Disclaimer of Warranties

Except as expressly stated in writing, the Site and products are provided on an “as available” basis, subject to applicable law.

To the fullest extent permitted by law, we disclaim implied warranties, conditions, or representations, including implied warranties of merchantability, fitness for a particular purpose, durability, title, and non-infringement.

Nothing in these Terms limits rights or remedies that cannot be limited under applicable consumer protection laws.

24. Limitation of Liability

To the fullest extent permitted by law, Ikonic Badges and its directors, officers, employees, contractors, suppliers, service providers, and affiliates will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profits, lost revenue, lost savings, loss of data, vehicle damage, installation costs, removal costs, replacement labour, fines, tickets, inspection issues, or other similar damages arising from your use of the Site or products.

To the fullest extent permitted by law, our total liability for any claim related to an order will not exceed the amount you paid for the product giving rise to the claim.

Some jurisdictions do not allow certain exclusions or limitations of liability, so some of the above limitations may not apply to you.

25. Indemnification

You agree to indemnify and hold harmless Ikonic Badges, 2555147 Ontario Inc., and our directors, officers, employees, contractors, suppliers, service providers, and affiliates from any claim, demand, loss, liability, damage, cost, or expense, including reasonable legal fees, arising from:

• Your breach of these Terms

• Your misuse of the Site or products

• Your violation of law

• Your improper installation or use of products

• Your customer-provided content

• Your infringement of third-party rights

• Your unlawful vehicle modification or road use

This obligation applies to the fullest extent permitted by law.

26. Force Majeure

We are not responsible for delays or failures caused by events beyond our reasonable control, including natural disasters, severe weather, fires, floods, accidents, labour disruptions, supply shortages, carrier delays, customs delays, power outages, internet outages, cyber incidents, government actions, war, terrorism, pandemics, or other events outside our control.

27. Governing Law

These Terms and any dispute arising from your use of the Site or purchase of products from Ikonic Badges are governed by the laws of the Province of Ontario and the applicable laws of Canada, without regard to conflict of law principles.

Subject to applicable consumer protection laws, you agree that disputes will be handled in the courts located in Ontario, Canada.

28. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed from these Terms, and the remaining provisions will remain in full force and effect.

29. No Waiver

Our failure to enforce any provision of these Terms does not waive our right to enforce that provision or any other provision in the future.

30. Changes to These Terms

We may update these Terms from time to time to reflect changes to our business, products, Site, service providers, legal requirements, or operational practices.

When we update these Terms, we will revise the “Last updated” date at the top of this page.

Your continued use of the Site after changes are posted means you accept the updated Terms.
